1. Agreement to These Terms

These Terms of Service ("Terms") are a legal agreement between you and Radial Holdings LLC ("Radial," "we," "us," or "our"), the company that operates Ask Felix (the "Service"). By creating an account, starting a free trial, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years of age and capable of forming a binding contract to use the Service. By using Ask Felix, you represent and warrant that you meet these requirements and that the information you provide to us is accurate and complete.

3. Description of the Service

Ask Felix is a financial-monitoring tool that helps you keep watch over your own or a consenting family member's bank and credit-card activity. With the account holder's authorization, the Service connects to financial institutions through Plaid Technologies, Inc. ("Plaid") using a read-only connection, and surfaces recurring subscriptions, unusual charges, and price increases along with a plain-language summary and suggested actions.

The Service is an informational and monitoring tool only. It does not, and cannot, move money, initiate payments, change account settings, or otherwise transact on any linked account.

4. Accounts and Authorization

To use the Service you must create an account and keep your login credentials confidential. You are responsible for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use.

You may only link financial accounts that you own or that you are legally authorized to monitor with the account holder's informed consent. By linking an account, you represent that you have obtained any consent required to do so. Your use of Plaid is also governed by Plaid's Privacy Policy.

5. Free Trial

We offer a 14-day free trial. No payment method is required to begin the trial. At the end of the trial period your access to paid features will end unless you choose to start a paid subscription. We may modify or discontinue free trials at any time.

6. Subscriptions, Billing, and Renewal

• Pricing. Ask Felix is offered as a subscription at $9.99 per month, plus any applicable taxes. Current pricing is shown on our website and within the Service.
• Recurring billing. When you start a paid subscription, you authorize us and our payment processor to charge your payment method on a recurring monthly basis until you cancel.
• Automatic renewal. Your subscription renews automatically at the end of each billing cycle at the then-current price.
• Payment processing. Payments are processed by Stripe, Inc. We do not store full payment-card numbers; they are handled by our payment processor in accordance with its terms and privacy policy.
• Price changes. We may change our prices. If we do, we will give you advance notice, and changes will take effect on your next billing cycle.

Cancellation and refunds are governed by our Refund & Cancellation Policy.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms;
• Access or attempt to access financial accounts you are not authorized to monitor;
• Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its related systems;
• Reverse engineer, copy, or create derivative works from the Service except as permitted by law;
• Use the Service to harass, defraud, or harm any person.

8. Intellectual Property

The Service, including its software, design, text, graphics, and the Ask Felix name and logo, is owned by Radial Holdings LLC and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. All rights not expressly granted are reserved.

9. Third-Party Services

The Service relies on third-party providers, including Plaid for financial-data connectivity and Stripe for payment processing. Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the acts or omissions of third-party providers.

10. No Financial or Professional Advice

Ask Felix provides information to help you monitor financial activity. It does not provide financial, investment, tax, legal, or other professional advice, and nothing in the Service should be relied on as such. You are responsible for decisions you make based on information provided by the Service.

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that data provided by third parties such as Plaid will always be accurate, complete, or timely.

12. Limitation of Liability

To the fullest extent permitted by law, Radial Holdings LLC and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or data, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless Radial Holdings LLC from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party, including your failure to obtain required consent to monitor an account.

14. Termination

You may stop using the Service and cancel your subscription at any time as described in our Refund & Cancellation Policy. We may suspend or terminate your access to the Service if you violate these Terms or if we discontinue the Service. Upon termination, the provisions of these Terms that by their nature should survive will continue to apply.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, for material changes, provide notice through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-laws rules. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in Erie County, New York, except where prohibited by applicable law.
